These terms outline the expectations and responsibilities for both DRUID HIVE (“we/us”) and our clients (“you”).
1. Engagement
Each project is governed by a Statement of Work (SOW) that details scope, deliverables, milestones, and commercial terms. Work begins once both parties sign the SOW and initial payment is received.
2. Payment
Invoices are due within 14 days unless stated otherwise. Late payments may pause work and incur a 1.5% monthly finance charge. All fees are quoted exclusive of taxes and payment processor fees.
3. Intellectual property
Upon full payment, you own the final deliverables we produce for you. We retain ownership of pre-existing tools, frameworks, and internal processes but grant you a license to use them within the project.
4. Confidentiality
Both parties agree to protect confidential information shared during the engagement. We use NDAs, secure file storage, and limited-access repos to ensure sensitive details remain protected.
5. Warranties & limitations
We warrant that our work is original and performed to professional standards. Except where prohibited by law, DRUID HIVE is not liable for indirect, incidental, or consequential damages arising from the engagement.
6. Termination
Either party may terminate the engagement with written notice. You are responsible for payment on work delivered through the termination date. Upon termination, we will hand off all in-progress assets.
